Terms of Service

These Terms of Service (“Terms”) govern your use of ManuTrack (“the platform”), operated by Alex Mensah Tenkorang, trading as ManuTrack, registered in Ghana (“we”, “us”, “our”).

1. Definitions

• "Platform" — the ManuTrack software application and all associated APIs, services, and documentation.
• "Account" — the account created when you sign up for ManuTrack.
• "Organisation" — the manufacturing business or other entity that is the subscribing customer.
• "User" — an individual who accesses the platform as part of an Organisation.
• "Subscription" — a paid or trial access plan as described on the pricing page.
• "Content" — all data, text, files, and information you submit to the platform, including batch records, QC data, and documents.
• "QR Label" — a QR code generated through the platform and associated with a product or batch record.
• "Verification Page" — the public-facing page at /verify/[serial] accessible to anyone who scans a QR Label.
• "AI Features" — platform functionality powered by the Anthropic Claude API.

2. Account registration

2.1 Eligibility

You must be at least 18 years old and have legal authority to enter into a binding contract to use the platform.

2.2 Account creation

You must provide accurate and complete information when creating your account. You are responsible for keeping your credentials secure and for all activity under your account.

2.3 Organisational accounts

ManuTrack uses Clerk to manage organisations and team members. When you create an Organisation, you become the Organisation Owner and are responsible for managing member access and roles.

2.4 Account security

Notify us immediately at security@manutrack.app if you believe your account has been compromised. We are not liable for losses resulting from unauthorised access where you have not taken reasonable precautions.

3. Subscriptions and payment

3.1 Plans and pricing

ManuTrack offers Starter, Growth, and Enterprise plans as described on our pricing page (/pricing). Prices are in USD, processed via Paystack. You may pay in your local currency (GHS, NGN, KES, ZAR, XOF, or other Paystack-supported currencies) at the prevailing exchange rate. Prices are subject to change with 30 days' notice.

3.2 Free trial

New accounts receive a 30-day free trial with full platform access. No payment information is required. At the end of the trial, continued use requires a paid subscription.

3.3 Payment

Subscriptions are billed monthly or annually via Paystack. Payment methods include debit/credit cards and mobile money (MTN MoMo, Vodafone Cash, and others where available). You authorise us to charge your chosen payment method on each billing date.

3.4 Setup fees

A one-time setup fee applies to Starter and Growth plans as published on the pricing page. The setup fee is charged in full together with your first subscription payment in a single Paystack transaction — there is no split or staged billing. Enterprise setup fees are agreed separately as part of the sales process. All setup fees are non-refundable once onboarding has commenced.

3.5 Late payment

If a payment fails, we will notify you and retry within 3 business days. If payment remains outstanding after 7 days, your account may be suspended. Access is restored immediately upon successful payment.

3.6 Refunds

Monthly subscription fees are non-refundable once the billing period has commenced. If you cancel an annual subscription within 14 days and have not used the platform to generate QR labels or create batches, we will issue a pro-rated refund. Contact billing@manutrack.app.

3.7 Cancellation

Cancel at any time. Cancellation takes effect at the end of the current billing period. Your account and data remain accessible until the end of the paid period. After cancellation, data is retained for 90 days before permanent deletion.

3.8 Plan limits and overages

Starter plans include 2,000 products/month; Growth plans 10,000; Enterprise is unlimited. Products above your plan limit are charged at $0.02 per product (≈ GHS 0.30). We will notify you at 80% and 95% of your monthly limit.

4. Acceptable use

You agree to use ManuTrack only for lawful purposes. You must not:

1. (a)Use the platform to track, label, or authenticate counterfeit, falsified, or mislabelled products. Using ManuTrack to misrepresent the origin, species, grade, or quality of any product is a serious breach of these Terms and may constitute fraud under applicable law.
2. (b)Attempt to gain unauthorised access to other organisations' accounts, data, or systems.
3. (c)Use the platform in any way that violates applicable law in any jurisdiction where you operate.
4. (d)Upload content that is defamatory, fraudulent, or that infringes the intellectual property rights of others.
5. (e)Use automated scripts, bots, or scrapers to access the platform in ways not intended by these Terms.
6. (f)Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
7. (g)Resell or redistribute access to the platform without our written permission.

We reserve the right to suspend or terminate any account we reasonably believe is in breach of this section, without notice and without refund.

5. Your content and data

5.1 Ownership

All Content you upload or create on ManuTrack belongs to you and your Organisation. We claim no ownership over your manufacturing data, batch records, or any other Content.

5.2 Licence to us

By submitting Content, you grant us a limited, non-exclusive licence to store, process, and transmit that Content solely to provide the platform services. We do not use your Content for any other purpose.

5.3 Data accuracy

You are responsible for the accuracy of all data you enter. ManuTrack is only as reliable as the data you provide. We are not liable for errors arising from inaccurate data entry.

5.4 Data export

Export your data at any time from within the dashboard in CSV format. We recommend regular exports as a backup.

5.5 Compliance obligations

You are responsible for ensuring your use of ManuTrack complies with all applicable laws in the jurisdictions where you operate — including data protection law, the EU Deforestation Regulation (EUDR), FSC/PEFC standards, FDA Ghana requirements, and any other sector-specific regulations. We provide tools to support compliance documentation but do not guarantee that use of our platform constitutes legal compliance with any specific regulation.

6. QR codes and the verification page

When you generate a QR Label, the information on the public Verification Page is taken directly from your platform data. You are responsible for ensuring that data is accurate, truthful, and not misleading.

Verification Pages are publicly accessible to anyone with a QR Label or direct URL. By generating QR Labels, you acknowledge that linked batch and product information will be publicly visible.

7. AI features

7.1 No guarantee of accuracy

AI-generated content — including compliance reports, defect classifications, and recommendations — is provided as a starting point and decision-support tool, not as professional legal, regulatory, or quality assurance advice.

You must review all AI-generated content before acting on it or submitting it to any regulatory body, certification authority, or third party. We are not liable for any loss arising from reliance on AI-generated content without independent review.

7.2 Data processing by Anthropic

When you use AI features, relevant data is sent to Anthropic for processing. By using AI features, you consent to this data transfer. See our Privacy Policy §2.6 for further detail.

8. Intellectual property

ManuTrack, including its software, design, features, and all related intellectual property, is owned by Alex Mensah Tenkorang, trading as ManuTrack. These Terms do not transfer any IP rights to you.

“ManuTrack” and the ManuTrack logo are our trademarks. You may not use them without prior written consent except to truthfully describe your use of the platform.

9. Service availability

We aim to make ManuTrack available 24/7. Enterprise plans carry a 99.9% monthly uptime SLA. Starter and Growth plans do not carry a formal SLA, though we aim for the same standard.

We will give at least 24 hours' notice of planned maintenance. We may modify or discontinue features at any time with 30 days' notice for changes that materially reduce functionality for paid subscribers.

10. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for:

1. (a)Loss of revenue, profit, or business opportunity arising from use of or inability to use the platform.
2. (b)Loss of data beyond what is recoverable from our standard backup procedures.
3. (c)Indirect, incidental, or consequential losses of any nature.
4. (d)Losses arising from reliance on AI-generated content without independent review.
5. (e)Losses arising from inaccurate data you entered into the platform.
6. (f)Losses arising from third-party service provider failures (Clerk, Railway, Cloudinary, Paystack, etc.)

Our total liability to you in any 12-month period shall not exceed the total subscription fees you paid to us in that same period.

Nothing in these Terms limits our liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless ManuTrack, its directors, employees, and agents from any claims, losses, damages, or expenses (including legal fees) arising from your breach of these Terms, your violation of applicable law, Content you submit that is inaccurate or fraudulent, or any claim by a buyer or regulator arising from QR Labels you generated containing misleading information.

12. Termination

12.1 By you

Close your account at any time from Settings → Billing → Cancel Subscription. Cancellation takes effect at the end of the current billing period.

12.2 By us

We may suspend or terminate your account immediately if you breach these Terms and fail to remedy the breach within 7 days of notice; use the platform for fraudulent or illegal purposes; or payment remains outstanding more than 14 days after the due date.

12.3 Effect of termination

Upon termination, your access will cease. Your data is retained for 90 days, during which you can request an export. After 90 days, all data is permanently deleted.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana. Any dispute arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Ghana.

Before initiating legal proceedings, contact legal@manutrack.app to resolve any dispute informally. We will attempt to resolve any complaint within 14 days.

Nothing in these Terms affects any rights you may have under consumer or data protection law in your jurisdiction that cannot be contracted out of.

14. General

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ManuTrack.
• Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary; remaining provisions continue in full force.
• No waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not transfer your rights under these Terms without our written consent. We may assign our rights in the event of a merger or acquisition.
• Updates: We will notify you of material changes by email and in-app notification at least 14 days before they take effect. Continued use after that date constitutes acceptance.
